Our client is a global leader in solar development, and specialises in the financing, development and management of solar energy projects in order to provide sustainable energy solutions.

Opportunities will also arise to work closely with the Structured Finance Team and the EMEA Legal Projects Team (EPC/O&M/PPA).




Duties and responsibilities

Senior corporate counsel within the Legal Team in Madrid to support our Client's Spanish business including:

  • Leading co-development, acquisition, divestment and joint venture negotiations;

  • Legal issues arising from development of project pipeline up to ready to build in particular permitting and planning considerations;

  • Management of due diligence process with external counsel for development and acquisition opportunities and proposal of risk mitigation solutions;

  • Transaction structuring - liaising with tax, finance and development teams to optimise corporate structures for projects;

  • Reviewing and advising on grid sharing arrangements together with the Legal Projects Team in London;

  • Assisting development teams with land acquisition strategy and working with local counsel on template agreements;

  • Drafting, review and negotiation of co-development agreements, SPAs, SHAs, JV arrangements, development services agreements and related finance agreements (guarantee, loan agreements);

  • Assisting business development teams in presentations to the Executive Committee and Investment Committee including legal risk reports;

  • Supporting financial close processes including satisfaction of project related conditions precedent;

  • Supporting development of regional best practice including template agreements, project analysis tools and joining team training events.


We offer a 6/9-month project.

Requisitos mínimos
  • Minimum 8 years Post Qualification Experience.

  • Based in Madrid

  • Excellent academic background and experience gained in-house working in an international renewable energy company

  • Ability to deal confidently, advise and build strong relations with the Executive team in Madrid.ç

  • Flexible attitude and the ability to multi task. Strong time management / prioritisation skills.

  • Strong English verbal and written communication skills.

  • Helpful, hardworking approach and a team player.

  • Strong business acumen with ability to assess legal risk and commercial / practical considerations.

  • Excellent technical drafting skills and familiarity with the documents and types of work covered in the 'Duties and responsibilities' section of this job description.
